Provider Agreement

The terms that govern service providers offering home restoration and repair services through FixLoupe.

This Provider Agreement sets out the terms for businesses and contractors that offer services on FixLoupe, including the independent-contractor relationship, eligibility and verification, service standards, fees, insurance requirements, and how Homeowner data must be handled.

1. Acceptance and relationship of the parties

This Provider Agreement ("Agreement") governs your participation as a service provider ("Provider", "you") on the FixLoupe platform (the "Service"), operated by FixLoupe ("FixLoupe", "we"). It supplements our Terms & Conditions and Privacy Policy; where this Agreement conflicts with the Terms regarding provider activities, this Agreement controls.

You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint-venture, or franchise relationship between you and FixLoupe. You have sole control over how, when, and whether you perform services, and you are responsible for your own personnel, equipment, taxes, and business expenses. You may not bind FixLoupe or represent yourself as its employee or agent.

2. Eligibility and verification

To offer services through the Service, you represent and warrant that you:

  • are a legally established business or individual authorized to provide the listed services;
  • hold and will maintain all licenses, registrations, permits, and certifications required by law for the services you offer;
  • carry the insurance required below; and
  • will provide accurate business, licensing, and contact information.

You authorize FixLoupe to verify the information you provide, including, where permitted by law, background, licensing, and insurance checks. Approval to use the Service is at our discretion and does not constitute an endorsement of your business.

3. Provider obligations and service standards

  • perform services in a professional, workmanlike manner consistent with industry standards;
  • respond to Leads and communications promptly and honor quotes and appointments you accept;
  • provide accurate descriptions, pricing, and timelines, and disclose material limitations;
  • comply with all applicable laws, codes, and safety regulations in performing services;
  • treat Homeowners and their property with care and respect; and
  • not engage in deceptive, fraudulent, discriminatory, or harassing conduct.

4. Leads and bookings

The Service may present you with Leads matching your services and coverage area. You are not obligated to accept any Lead, but if you do, you are responsible for fulfilling the resulting engagement directly with the Homeowner. FixLoupe does not guarantee any minimum number of Leads, bookings, or revenue, and does not control whether a Homeowner selects you.

5. Pricing, quotes, and invoicing

You set your own prices and provide quotes directly to Homeowners. The contract for services is between you and the Homeowner. You are responsible for accurate quoting, invoicing, collecting any amounts due for your services (except where the Service facilitates payment), honoring your cancellation and warranty terms, and remitting applicable taxes.

6. Fees payable to FixLoupe

In exchange for access to the Service, you agree to pay the fees applicable to your account, which may include subscription fees, per-Lead fees, and/or a commission on completed jobs. The current fees and billing terms will be disclosed to you before they apply (for example, during onboarding or in your account dashboard).

We may change fees on prospective notice. You authorize us (or our payment processor) to charge the payment method on file for amounts due. Unless required by law, fees are non-refundable. You agree not to circumvent the Service to avoid fees by diverting platform-sourced Leads off-platform.

7. Insurance and licensing

You must maintain, at your own expense, general liability insurance and any other insurance and bonding required by law or customary for your trade, and all licenses and permits required for the services you offer. Upon request, you will provide evidence of such insurance and licensing. Maintaining adequate coverage is your responsibility; FixLoupe does not provide insurance for your services.

8. Reviews, ratings, and content

Homeowners may review and rate your services, and these may be displayed on the Service. You grant FixLoupe a worldwide, non-exclusive, royalty-free license to use your business name, logo, listings, photos, and other Content you provide to operate, display, and promote the Service. You represent that you have the rights to grant this license and that your Content is accurate and non-infringing. You may not post fake or incentivized reviews or misrepresent your qualifications.

9. Homeowner data and confidentiality

You will receive personal information about Homeowners (such as names, contact details, service locations, and photos) solely to respond to and perform the requested services. You agree to use such information only for that purpose, to keep it confidential and secure, to comply with applicable privacy and data-protection laws, and not to sell it, use it for unrelated marketing, or retain it longer than necessary. You must promptly delete Homeowner data on request where you have no ongoing engagement or legal basis to retain it.

10. Indemnification

You agree to defend, indemnify, and hold harmless FixLoupe and its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to the services you provide, your Content, your violation of this Agreement or any law, your tax obligations, or your interactions with any Homeowner.

11. Warranties and disclaimers

THE SERVICE IS PROVIDED TO PROVIDERS "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. FIXLOUPE DOES NOT WARRANT ANY VOLUME OF LEADS, BOOKINGS, OR REVENUE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXLOUPE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, AND ITS TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID TO FIXLOUPE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Suspension and termination

Either party may terminate this Agreement at any time, with or without cause, by ceasing to use the Service or by closing your Provider account. We may suspend or terminate your access immediately if we reasonably believe you have violated this Agreement, the Terms, or any law, failed to maintain required licensing or insurance, or created a risk to Homeowners or the Service. You remain responsible for completing engagements you have accepted and for fees accrued before termination. Provisions that by their nature should survive (including fees owed, confidentiality, indemnity, disclaimers, liability limits, and dispute resolution) will survive termination.

13. Governing law and dispute resolution

This Agreement is governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. The dispute-resolution, informal-resolution, arbitration, jury-trial waiver, and class-action-waiver provisions in our Terms & Conditions apply to disputes under this Agreement and are incorporated here by reference.

14. General

This Agreement, together with the Terms & Conditions and Privacy Policy, is the entire agreement between you and FixLoupe regarding your participation as a Provider. If any provision is unenforceable, the remainder will remain in effect. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets. We may update this Agreement on prospective notice, and your continued use of the Service constitutes acceptance.
